Tan Choo Lye specialises in all aspects of corporate and investment funds work at all stages from conceptualisation to winding-up and from the ultimate beneficial owners and families behind them to the regulators and stakeholders involved in such entities.

She practices in the areas of securities, corporate finance, restructuring, mergers and acquisitions, funds, and public and private equity issues. Having practiced in international law firms based in Malaysia and Hong Kong, advising her clients on general corporate issues in relation to the laws of Malaysia, Bermuda, the British Virgin Islands, the Cayman Islands, and Hong Kong, she frequently advises on cross-border transactions, including the strategic structuring and reorganisation of groups of companies to best benefit from local corporate legislation, particularly in the areas of asset protection, fund-raising, securities offerings, employment, prospectus registration, and tax.

As a result of the growing wealth and investor base in Asia, she has also advised extensively on offers of securities in Asian jurisdictions on both a public and private basis, licensing and registration of securities, investment, and financial entities and the establishment and structuring of family offices, succession-planning, and philanthropic endeavours.

She was listed in the Legal 500 Asia Pacific as a recommended lawyer for foreign firms in Malaysia and investment funds in Hong Kong.

  • Samling Global Limited – restructuring the group of companies before listing on The Stock Exchange of Hong Kong Limited, acting as its company secretary and legal adviser and thereafter, its privatisation and rationalisation
  • Assisting the UBO of one of the largest private property developers in Malaysia in relation to family succession-planning and asset protection  
  • Restructuring the shareholdings and interests of a PRC UBO for asset protection, tax efficiency and succession-planning
